By purchasing, accepting, holding, using, or attempting to use a ticket for the event, the purchaser and/or attendee agrees to the following Terms and Conditions, Waiver, and Release of Liability Agreement.

This agreement is entered into by and between Belmont Park Entertainment LLC, a Delaware limited liability company, Fit Gym Mission Beach, Almost Nakey LLC, Same Same But Different LLC, and the ticket purchaser, ticket holder, guest, attendee, and/or participant, collectively referred to as “Guest,” “Ticket Holder,” “you,” or “your.”

For purposes of this agreement, Same Same But Different LLC may be referred to as the “Organizer.” Belmont Park Entertainment LLC may be referred to as the “Club.” The event may include access to Fit Social, gym equipment, sauna facilities, cold plunge facilities, fitness activities, music, entertainment, food and beverage areas, vendor areas, and other related facilities, activities, or amenities.

By completing a ticket purchase, entering the event, or using any event facilities or amenities, you acknowledge that you have read, understood, and agreed to be bound by these terms.

1. Acceptance of Terms

By purchasing, accepting, holding, using, or attempting to use a ticket, you agree to these terms set by Same Same But Different LLC, the venue, and the other released parties identified in this agreement.

If you do not agree to these terms, do not purchase a ticket, enter the event, or use any event facilities or amenities.

2. All Sales Final

All ticket sales are final. No refunds, exchanges, cancellations, or credits will be granted for any reason, including but not limited to personal conflicts, illness, injury, weather, travel issues, dissatisfaction, mistake, failure to attend, or failure to meet entry requirements.

Tickets are non-transferable unless otherwise stated by Organizer or permitted through the official ticketing platform.

3. Event Changes, Cancellation, and Force Majeure

Organizer reserves the right to change the lineup, schedule, programming, venue, event layout, capacity, amenities, activities, vendors, partners, or any other aspect of the event at any time without issuing refunds.

If the event is canceled and not rescheduled, Organizer may offer refunds, credits, or other remedies at its sole discretion, except where otherwise required by law.

No refunds will be issued for cancellations, delays, interruptions, or changes caused by events outside Organizer’s reasonable control, including but not limited to natural disasters, weather, fire, flood, earthquake, public health restrictions, government action, labor disruptions, acts of God, terrorism, civil unrest, power failure, venue closure, artist cancellation, or other force majeure events.

4. Entry and Conduct

A valid ticket does not guarantee entry. Entry is subject to venue policies, security screening, age requirements, capacity limits, health and safety rules, and all applicable laws and regulations.

Organizer, the Club, venue staff, security, and their representatives reserve the right to deny entry or remove any Guest without refund for any reason deemed necessary, including but not limited to intoxication, disorderly conduct, unsafe behavior, failure to comply with staff instructions, possession of prohibited items, violation of venue rules, harassment, threats, violence, or conduct that may negatively affect the safety or experience of others.

Guests are responsible for their own behavior and for any damage they cause to the venue, facilities, equipment, amenities, or property.

5. Assumption of Risk

Guest acknowledges and agrees that attending the event and using the facilities and amenities at Fit Social involves inherent risks. These facilities and amenities may include, but are not limited to, gym equipment, sauna facilities, cold plunge facilities, fitness classes, physical activities, wet areas, slippery surfaces, music, entertainment, crowds, food and beverage areas, and other related activities or amenities, collectively referred to as the “Facilities.”

Risks may include, but are not limited to:

1. Personal injury, illness, death, or property damage

2. Use or misuse of gym equipment

3. Equipment malfunction

4. Participation in physical activities or fitness classes

5. Exposure to wet or slippery surfaces

6. Slips, trips, falls, or collisions

7. Weather, sun exposure, heat, or dehydration

8. High heat exposure

9. Drowning or other water-related injuries

10. Hypothermia, cold shock, or adverse reaction to cold plunge use

11. Dizziness, fainting, nausea, or disorientation

12. Cardiovascular stress, injury, or medical complications

13. Muscle strain, physical injury, or overexertion

14. Burns, overheating, or adverse reaction to sauna use

15. Exacerbation of existing medical conditions

16. Medication interactions or health complications

17. Theft, loss, or damage to personal property

18. Other hazards associated with physical exertion, live events, crowds, the environment, or use of the Facilities

Guest voluntarily assumes full responsibility for any and all risks of harm, injury, illness, death, or property damage arising out of or related to attendance at the event or use of the Facilities, even if caused in whole or in part by the negligence of the Released Parties, to the fullest extent permitted by law.

Guest represents that they are physically and medically able to safely participate in any activities they choose to participate in, including but not limited to fitness activities, sauna use, and cold plunge use. Guest is solely responsible for determining whether participation is appropriate based on their health, medical history, medications, physical condition, and personal circumstances.

6. Waiver and Release of Liability

To the fullest extent permitted by law, Guest voluntarily releases, waives, and discharges Belmont Park Entertainment LLC, Fit Gym Mission Beach, Almost Nakey LLC, Same Same But Different LLC, Symphony Asset Pool XVI LLC, PE Management Group Inc., Pacifica Enterprises Investments LLC, the City of San Diego, and each of their respective owners, officers, managers, attorneys, members, directors, successors, assigns, employees, agents, contractors, representatives, affiliates, sponsors, partners, vendors, and related parties, collectively referred to as the “Released Parties,” from any and all claims, demands, actions, causes of action, damages, liabilities, losses, costs, and expenses arising out of or related to:

1. Guest’s attendance at the event

2. Guest’s use of the Facilities

3. Guest’s participation in any event activity

4. Personal injury, illness, death, or property damage

5. Theft, loss, or damage to personal belongings

6. Acts or omissions of other attendees or third parties

7. The negligence of any Released Party, to the fullest extent permitted by law

This release applies to all claims, whether known or unknown, foreseen or unforeseen, and includes claims for personal injury, illness, death, property damage, and economic loss.

Guest understands and acknowledges the significance and consequences of this waiver and voluntarily agrees to assume all risks associated with attending the event and using the Facilities.

7. Indemnification

Guest agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, actions, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

1. Guest’s use of the Facilities

2. Guest’s attendance at the event

3. Guest’s acts or omissions, whether negligent or otherwise

4. Any injury, illness, death, or property damage allegedly caused by Guest

5. Claims brought by third parties in connection with Guest’s attendance, conduct, participation, or use of the Facilities

6. Guest’s breach of this agreement

Guest acknowledges and agrees that this indemnification obligation shall survive the event and shall continue to apply after the event has ended.

8. Damage to Facilities or Property

If Guest damages any portion of the venue, Facilities, equipment, amenities, or property, Guest agrees to be responsible for the cost of repair, replacement, cleaning, or other remedy.

Upon notice of a statement or invoice from the Club, Organizer, venue, or their agent, Guest agrees to remit payment for such damage.

9. Health and Safety

Guest agrees to follow all posted and communicated health, safety, and venue rules. Guest understands that physical activities, sauna use, cold plunge use, and other event amenities may not be appropriate for all individuals.

Guest should not participate in any activity or use any facility if they are pregnant, ill, injured, under the influence of alcohol or drugs, have a medical condition that may be aggravated by participation, or have been advised by a medical professional not to participate.

Guest is solely responsible for stopping participation if they feel unwell, dizzy, faint, overheated, overly cold, short of breath, in pain, or otherwise unsafe.

10. Personal Property

Guest is solely responsible for their personal property. Organizer, the Club, venue, and Released Parties are not responsible for lost, stolen, damaged, or misplaced items.

11. Chargebacks and Payment Disputes

Guest agrees not to initiate a chargeback or payment dispute for any valid ticket purchase or event-related charge that is subject to these terms.

Before initiating any payment dispute, Guest agrees to contact the official ticketing support channel or Organizer to attempt to resolve the issue.

Unauthorized or improper chargebacks may result in cancellation of tickets, denial of entry, collection efforts, legal action, and/or banning from future events, to the fullest extent permitted by law.

Nothing in this section limits any rights that cannot legally be waived.

12. Media Consent

Guest acknowledges that photography, video recording, audio recording, and other media capture may occur at the event.

By entering the event, Guest grants Organizer, Almost Nakey LLC, the Club, venue, sponsors, partners, media teams, and their authorized representatives the right to photograph, film, record, and otherwise capture Guest’s name, image, likeness, voice, appearance, and participation at the event.

Guest grants permission for such media to be used, edited, reproduced, displayed, distributed, published, and shared for promotional, marketing, advertising, social media, archival, editorial, and commercial purposes without additional notice, approval, or compensation.

13. Compliance with Laws and Venue Rules

Guest agrees to comply with all applicable federal, state, and local laws, rules, regulations, and ordinances, as well as all venue and event policies.

Any violation of applicable law or venue policy may result in denial of entry, removal from the event, cancellation of tickets, and/or referral to law enforcement, without refund.

14. Severability

If any provision of this agreement is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

15. Binding Agreement

Guest acknowledges that this agreement is intended to be as broad and inclusive as permitted by law.

By purchasing, accepting, holding, using, or attempting to use a ticket, Guest confirms that they have read this agreement, understand its terms, understand that they are giving up substantial legal rights, and agree to be legally bound by it.
